Provider Services Agreement

Summary of binding terms

By signing below, you (the "Provider") agree to provide independent telehealth services for PrescriberNow patients on the following terms with PrescriberNow LLC, a Florida limited liability company.

1. Independent contractor. You're an independent contractor, not an employee. You maintain your own malpractice insurance, licenses, and DEA registration. You set your own clinical judgment — PrescriberNow does not direct your medical decisions.

2. Standard of care. You'll comply with all applicable state telehealth laws, treat each patient interaction as a real clinical encounter, and refuse to prescribe when clinically inappropriate.

3. Patient relationship. Each prescription creates a provider-patient relationship between you and the patient. PrescriberNow is the intake and routing platform, not the prescriber.

4. HIPAA. You'll comply with HIPAA, complete required training, and report any suspected breach within 24 hours.

5. Term & termination. 30-day notice either party. PrescriberNow may suspend immediately for licensure issues, safety concerns, or material breach.

6. Indemnification & insurance. Each party indemnifies the other for its own negligence. Provider maintains professional liability insurance of at least $1M per occurrence / $3M aggregate.

7. Therapeutic scope. Provider has selected in Step 3 of this application the therapeutic areas Provider is licensed and clinically competent to prescribe in (the “Selected Scope”). Provider attests that the Selected Scope accurately reflects Provider’s current scope of practice, licensure, training, and clinical competence. PrescriberNow will only route patient charts to Provider whose requested treatment falls within the Selected Scope. Provider may update Selected Scope at any time via the provider profile; updates take effect immediately and are recorded with a timestamp in the audit log as an amendment to this Agreement. Provider agrees not to prescribe outside the Selected Scope through this platform.

8. Governing law. Florida law. Venue: Martin County, FL. Binding arbitration per AHLA rules.

The full executed agreement is generated as a PDF, emailed to you, and stored in the PrescriberNow signed-agreements registry.

By checking this box, I, the Provider identified in Step 1 of this application, intend this checkbox to serve as my legally binding electronic signature on the PrescriberNow Provider Services Agreement under the ESIGN Act and UETA. I have read and agree to all terms above. I confirm my licenses are active and in good standing, and I attest that the therapeutic areas I selected in Step 3 (the “Selected Scope”) accurately reflect my licensure, training, and clinical competence to prescribe. I understand that a PDF copy of this signed agreement, including my name, the date/time of signing, and my IP address, will be emailed to me and stored in PrescriberNow’s signed-agreements registry.
